Terms of sale

Version 1.1 — 11 October 2026

These general terms of sale apply to the THOR Flights services provided by THOR 42 LAB (“THOR”) to business customers (“the Customer”). They do not apply to consumers. The specific terms of a signed order form prevail over these terms. The French version prevails.

1. Services

  • Live demo: free 7-day access to a demo space on one airport, after THOR approves the request. No commitment.
  • Proof Sprint: THOR measured alongside the Customer’s operations for 8 to 12 weeks, against criteria agreed in advance.
  • Subscriptions (Station Core, Operations, Groups): access to the customer space, the API and reports for the stations listed in the order form.

2. Orders

An order is formed by signing an order form or, where offered, by paying online after accepting these terms. Prices shown on the website are indicative; only the order form price binds the parties.

Online orders: the Customer accepts the order form and these terms, whose version and digital fingerprint are recorded with the date, time and connection address; the PDF order form is sealed (SHA-256 fingerprint and THOR server seal). Payment is processed by Stripe (card or SEPA direct debit, whose mandate is signed online). Access opens as soon as Stripe confirms the payment; for SEPA, when the debit is confirmed.

3. Prices and payment

Prices are in euros excluding VAT; applicable VAT is added. Unless agreed otherwise, invoices are payable within 30 days by bank transfer or SEPA direct debit, or by card for online payments. Late payment bears interest at the European Central Bank rate plus 10 points and the €40 fixed recovery fee of article L.441-10 of the French Commercial Code. The amount of a Proof Sprint is deductible from the first subscription year ordered at its end, where the order form says so.

4. Term and termination

Subscriptions run for one year and renew tacitly for one-year periods unless terminated at least 60 days before the renewal date. A subscription ordered online can be cancelled at any time from the customer space (billing portal): cancellation takes effect at the end of the current, already paid, yearly period, without pro-rata refund; access to the airports stops on that date and invoices remain available. In case of a serious breach not remedied within 30 days of formal notice, either party may terminate.

5. Service

THOR uses reasonable means to ensure the availability and quality of the service (best-efforts obligation). Service levels, if any, are set out in the order form. Predictions are estimates: their measured accuracy is published, but no prediction is guaranteed to be exact.

6. Non-safety use

The Customer shall not use THOR for air traffic control, navigation or any safety-of-flight decision and remains solely responsible for its operational decisions.

7. Data

The Customer remains owner of the data it provides. THOR uses it only to perform the service and to measure its performance for the Customer. THOR does not resell supplier raw data; the Customer receives THOR outputs. Each customer only accesses its own airports. Any processing of personal data is governed by a data processing agreement.

8. Confidentiality

Each party keeps confidential the non-public information received from the other during the contract and for three years after.

9. Intellectual property

THOR keeps all rights in the software, models and predictions. The Customer receives a non-exclusive, non-transferable right to use THOR outputs for its internal needs during the contract.

10. Liability

THOR’s liability is limited to proven direct damage and capped at the amounts paid by the Customer over the last twelve months. THOR is not liable for indirect damage (loss of revenue, customers or operations).

11. Force majeure

Neither party is liable for a failure caused by force majeure within the meaning of article 1218 of the French Civil Code, including the interruption of third-party data sources.

12. Governing law

These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the Paris economic activities court (Tribunal des activités économiques de Paris).
